2. Scope and Acceptance of Terms

By accessing or using our digital platforms, you agree to comply with the provisions applicable to your use of the relevant platform or service.

Where a specific service, subscription, product or transaction requires separate terms, disclosures, declarations, risk acknowledgements or consent, those additional requirements will apply to that service or transaction.

Submitting an enquiry, registering interest, providing a mobile number or completing OTP verification does not, by itself, constitute the purchase of a paid subscription or acceptance of every service-specific term.

Where affirmative acceptance is required, we will seek such acceptance through the relevant process.

If you do not agree with these Terms, please discontinue use of the relevant platform or service.

3. Eligibility

You must be legally competent to enter into a binding agreement under applicable Indian law to purchase or subscribe to our paid services.

You must provide accurate, complete and current information when submitting a form, registering an account or purchasing a service.

If a particular service is subject to additional eligibility, KYC, regulatory or verification requirements, access to that service may be restricted until those requirements are satisfied.

Our services are not intended to be used in a manner that violates applicable law or regulatory requirements.

4. Nature of Our Services

Teji Mandi provides research-related products and services in accordance with its applicable SEBI registration, regulatory permissions, disclosures and service-specific terms.

Depending on the relevant offering, our digital platforms may provide information about research products, portfolios, stock ideas, research reports, subscription plans, pricing and related services.

The exact features, scope, availability and delivery of a service will be as described on the relevant product page, subscription page, applicable agreement and disclosures.

Access to a campaign page or the submission of an enquiry does not guarantee eligibility for, or access to, any particular service.

5. Research Information and Investment Risks

Research information and related material are subject to market risks and the terms, disclosures and limitations stated in the applicable research report or service documentation.

Investments in securities are subject to market risks. Prices and values of securities may rise or fall, and investors may lose some or all of their invested capital.

Past performance, historical returns, model portfolio information or illustrations do not guarantee or indicate future results.

Any estimates, projections, targets, scenarios or opinions are based on assumptions and information available at the relevant time and may change without notice, subject to applicable regulatory requirements.

Users should read the applicable research reports, risk disclosures and other required documents before making investment decisions. Where appropriate, users should consider their own financial circumstances, risk appetite, investment objectives and the advice of a suitably qualified professional.

Nothing on a campaign page or general website should be interpreted as a guarantee of profit, assured returns or protection against losses.

6. No Guarantee of Returns

TMITPL does not guarantee profits, returns, accuracy of market predictions or protection against losses.

No statement on our platforms should be interpreted as a promise of assured or fixed investment performance unless expressly permitted under applicable law and properly documented.

The value of investments may fluctuate because of market conditions, economic developments, company-specific events and other factors beyond our control.

7. Registration, Mobile Verification and OTP

Certain features may require you to provide a mobile number and verify it through a one-time password (“OTP”) or another verification method.

You agree to provide a mobile number that you are authorised to use and to keep your account details secure.

An OTP is intended to verify a contact number or authorise a specified step in the relevant process. OTP verification does not automatically constitute consent to receive promotional communications or acceptance of a paid subscription.

You must not share OTPs with unauthorised persons. We will not be responsible for losses resulting from your voluntary disclosure of OTPs or account credentials, except to the extent liability cannot lawfully be excluded.

We may suspend or restrict access where we reasonably suspect fraud, unauthorised access, misuse or a security risk.

8. Accuracy of Information

You are responsible for ensuring that the information you provide to us is accurate, complete and up to date.

You must notify us of material changes to information where required for your account, subscription, KYC, billing or regulatory records.

We may request additional information or verification where reasonably necessary to provide a service, protect account security or comply with applicable legal or regulatory requirements.

9. KYC and Regulatory Requirements

Where applicable to a particular service, you may be required to complete KYC, provide supporting documents, accept the applicable terms and conditions, acknowledge the Most Important Terms and Conditions (“MITC”), or complete other regulatory formalities.

Access to the relevant service may be withheld until the required formalities are completed.

If the required documentation is not provided within the period communicated to you, we may cancel or restrict the relevant subscription and process any applicable refund in accordance with the disclosed refund policy and applicable law.

No provision of these Terms overrides any mandatory SEBI requirement or other applicable legal or regulatory obligation.

10. Subscription, Fees and Payments

The applicable subscription price, duration, features and payment terms will be displayed on the relevant product or payment page or communicated in the applicable service documentation.

You must review the price, subscription period, applicable taxes, renewal conditions and other material terms before completing a purchase.

Payments must be made through the payment methods authorised and displayed by us. We do not authorise users to make payments to employees’ personal accounts or personal UPI IDs.

A payment confirmation, where issued, is subject to successful receipt and reconciliation of the payment and completion of any required onboarding or verification.

Access to a paid service will be governed by the relevant subscription terms, applicable regulatory requirements and any additional disclosures provided at purchase.

11. Subscription Cancellation and Refunds

Cancellation, discontinuation, refund eligibility and refund processing will be governed by the refund policy and the terms disclosed for the specific service at the time of purchase, subject to applicable law and regulatory requirements.

Where a refund is approved, it will be processed through the applicable payment method or another permitted method, subject to payment provider procedures.

Nothing in these Terms excludes a refund or remedy required under applicable law or a binding regulatory direction.

If a service is discontinued, materially changed or becomes unavailable, we will address the situation in accordance with the applicable service terms, regulatory requirements and any relevant refund obligations.

Please contact support@tejimandi.com for subscription-related queries.

12. Communications and Marketing

We may send service-related communications necessary to respond to enquiries, verify contact details, administer accounts or subscriptions, provide service updates, process payments, address complaints or fulfil legal and regulatory obligations.

Promotional communications about products, services, offers or campaigns will be sent in accordance with applicable law and the relevant consent, preference and communication requirements.

Where separate consent is required, we will seek it separately. Providing a mobile number, completing OTP verification or submitting an enquiry does not automatically amount to consent to receive all promotional communications.

You may use the available unsubscribe, preference-management or withdrawal mechanisms, where applicable. Withdrawal of marketing consent will not prevent communications that are necessary for an existing service, transaction or legal obligation.

13. Third-Party Platforms and Services

Our platforms may contain links to or integrations with third-party websites, payment providers, communication services or other external platforms.

Such third parties may operate under their own terms and privacy policies. We do not control independent third-party websites and are not responsible for their content, security or practices, except to the extent required by applicable law.

Your use of a third-party service may be subject to the terms and conditions of that service provider.

14. Intellectual Property

Unless otherwise stated, content on our platforms, including text, research material, reports, graphics, logos, design elements, software, trademarks and other materials, is owned by or licensed to TMITPL and is protected by applicable intellectual property laws.

You may access and use the content for the purpose for which it is made available and subject to the applicable subscription terms.

You must not reproduce, distribute, publish, modify, sell, commercially exploit or create derivative works from our content without prior written permission, except where expressly permitted by law or by the applicable service terms.

You must not remove copyright, trademark or other proprietary notices.

15. Prohibited Use

You must not:

  1. Use our platforms for any unlawful, fraudulent or unauthorised purpose.
  2. Provide false, misleading or impersonated information.
  3. Attempt to gain unauthorised access to our systems, accounts or data.
  4. Interfere with the operation, security or availability of our platforms.
  5. Introduce malicious code or conduct automated activity that disrupts our services.
  6. Copy, scrape, redistribute or commercially exploit research content without authorisation.
  7. Use our services in a manner that infringes the rights of the Company or any third party.
  8. Circumvent access restrictions, subscription controls or security measures.

We may take reasonable action to investigate and address suspected misuse, subject to applicable law.

16. Availability and Changes to Services

We aim to maintain the availability and accuracy of our digital platforms. However, access may occasionally be interrupted due to maintenance, upgrades, technical issues, security incidents, third-party service interruptions or circumstances beyond our reasonable control.

We may update, modify, suspend or discontinue features or content, subject to applicable law, regulatory requirements and any contractual obligations applicable to an existing subscription.

Where a change materially affects a paid service, we will address it in accordance with the applicable service terms and regulatory requirements.

17. Disclaimers and Limitation of Liability

To the extent permitted by applicable law, our general website and campaign content is provided for informational purposes and may be updated from time to time.

We do not warrant that every item of general website content will be uninterrupted, error-free or available at all times.

Nothing in these Terms excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited, including any mandatory obligation arising under applicable consumer protection, securities, data protection or other laws.

Subject to the foregoing, TMITPL will not be liable for indirect or consequential loss arising from the use of general website content where such exclusion is permitted by law.

Any liability relating to a specific paid service will also be subject to the applicable service terms and mandatory regulatory requirements.

18. Personal Data and Privacy

We collect and process personal data in connection with enquiries, registration, mobile verification, subscriptions, service delivery, payments, KYC and regulatory compliance, customer support, grievances, recruitment, platform security and other disclosed purposes.

Our processing of personal data is described in our Privacy Policy, which forms part of the information governing use of our platforms.

Where required, we will provide an appropriate notice and obtain consent or other legally valid authorisation before processing personal data.

We may share personal data with service providers, payment providers, verification providers, technology vendors, professional advisers or public authorities where necessary for disclosed purposes or as permitted or required by law.

Personal data will be retained for the period reasonably necessary for the relevant purpose and for applicable legal, regulatory, accounting, audit or dispute-resolution requirements.

Where applicable, users may also access the relevant SEBI or exchange grievance mechanisms, including SCORES and the applicable Online Dispute Resolution (“ODR”) platform.

The availability of a grievance mechanism does not restrict any statutory right or remedy available to a user.

20. Electronic Records and Communications

Electronic records, electronic communications, digital acknowledgements and records of acceptance may be maintained in connection with enquiries, registrations, subscriptions and other transactions, subject to applicable law.

Where legally permissible, such records may be used to evidence the relevant transaction, communication or acceptance.

You agree to receive electronic service-related communications where permitted by law and where necessary for the relevant transaction or service.

21. Amendments to These Terms

We may revise these Terms from time to time to reflect changes in our services, operations, technology, legal requirements or regulatory obligations.

The revised version will be published with an updated revision date.

Where required by applicable law, regulation or contract, we will provide additional notice or obtain fresh acceptance before applying material changes to the relevant service.

Your continued use of a platform will not, by itself, constitute consent where fresh consent or affirmative acceptance is legally required.

22. Force Majeure

To the extent permitted by law, we will not be responsible for a delay or failure caused by circumstances beyond our reasonable control, including natural disasters, governmental action, war, civil disturbance, widespread network failures, power failures or third-party infrastructure outages.

This clause does not remove any mandatory obligations, refund requirements or remedies applicable under law or the terms of a specific paid service.

23. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, including, where applicable, the Information Technology Act, 2000, as amended from time to time, and the rules and regulations made thereunder.

Subject to applicable law and the jurisdiction of competent regulatory authorities, courts having jurisdiction in Mumbai, Maharashtra, shall have jurisdiction over disputes arising out of or in connection with these Terms and Conditions.

Nothing in this clause shall restrict any statutory rights or remedies available to users under applicable law.

24. Severability
